Important legal information
Art Basel U.S. Corp., a Florida corporation (together with its affiliates, ("Organizer"), is the organizer of “Art Basel in Miami Beach” ("Show") held primarily at the Miami Beach Convention Center and its related properties, the Miami Beach Botanical Gardens and other sites and venues hosting Show-related events (“Show Sites”).
The holder of a ticket to the Show, including any VIP invitation, pass or VIP card (whether in electronic or physical form) (“Ticket”), and any other guests or entrants (including a parent or guardian on behalf of a minor) ("Holder") is aware and agrees that: (i) each Ticket is a revocable license and may be revoked by Organizer without refund or compensation; (ii) Organizer may refuse Holder access to or remove Holder from the Show if Holder does not comply with applicable law and regulations, including the terms of this Entrance Disclaimer, the Show Rules for Visitors and the Code of Behavior and any other rules relating to the Show, any Show Site or Tickets which Organizer may issue from time to time (together “Rules”).
Purchase and/or use of a Ticket and/or entry into the Show constitutes acceptance of the terms of this Entrance Disclaimer and the Rules.
The Holder acknowledges that they have reviewed the Rules and agrees to be subject to all terms and conditions contained in the Rules. The terms and conditions of the Rules will be deemed to be fully incorporated into and form an integral part of this Entrance Disclaimer.
Organizer reserves the right to decline to issue a Ticket to any person or revoke a Ticket which has been issued to a Holder in Organizer’s sole discretion and for any reason whatsoever (including Organizer’s internal or external compliance requirements).
Unauthorized or unlawful transfer, resale or attempted resale of a Ticket is grounds for seizure and cancellation of all admission privileges without compensation. Tickets obtained from unauthorized sources are void.
Organizer does not guarantee that Holder will be able to view the entirety of the Show (including where Holder has entered the Show at a time specified on Holder’s Ticket).
The Show is subject to change without notice. All sales of Tickets are final and refunds are not permitted, including in the event of cancellation or postponement of the Show for any reason whatsoever. Failure by Holder to attend the Show on the day and time specified on Holder’s Ticket will not result in a refund.
HOLDER, ON HOLDER’S BEHALF AND ON BEHALF OF HOLDER’S SPOUSE, FAMILY, HEIRS, BENEFICIARIES, AND PERSONAL REPRESENTATIVES ("RELEASORS"), ASSUMES ALL RISKS INCIDENT TO THE SHOW, INCLUDING BUT NOT LIMITED TO THE RISK OF LOST, STOLEN OR DAMAGED PROPERTY, PERSONAL INJURY, AND DEATH, AND HOLDER FURTHER ACKNOWLEDGES ALL RISKS INVOLVED IN ATTENDANCE AT THE SHOW, INCLUDING THE RISK OF INJURY, DEATH, AND/OR PROPERTY DAMAGE OR LOSS (WHETHER FORESEEN OR UNFORESEEN, KNOWN OR UNKNOWN).
In consideration for entry to the Show, Holder, on Holder’s behalf and on behalf of Releasors, hereby releases and forever discharges Organizer, its board of directors, their respective affiliates, chapters, officers, agents, staff, employees, successors and assigns, affiliates, and representatives (“Releasees”) from and against any and all liability for any and all claims, demands, actions, causes of action of whatever kind or nature, costs and expenses of any nature, including attorneys’ fees (“Claims”) that Holder and Releasors may have or that may accrue to them, arising out of or related to any harm, loss, damage, or injury, including suffering, death, property loss, or reputational harm that may be sustained by Holder or Releasors, whether caused by Holder's action or negligence or the action or negligence of Releasees or third parties in connection with Holder’s attendance at the Show. Holder also agrees not to sue Releasees in connection with any such harm, loss, damage, or injury.
As further consideration, Holder agrees to indemnify and hold Releasees harmless from and against all claims asserted against any of the Releasees by any person or entity based upon Holder's attendance at the Show or Holder’s related activities (including personal injury or property damage).
Holder acknowledges that any release contained in this Entrance Disclaimer is intended to be as broad and inclusive as permitted by law, and if any provision of this Entrance Disclaimer is held invalid, the balance shall continue in full legal force and effect.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOLDER DISCLAIMS, ANY SPECIAL, INCIDENTAL, INDIRECT, INTANGIBLE OR CONSEQUENTIAL DAMAGES BASED UPON BREACH OF IMPLIED WARRANTY, NEGLIGENCE, STRICT TORT, OR ANY OTHER LEGAL THEORY. THE DAMAGES SPECIFICALLY EXCLUDED INCLUDE, BUT ARE NOT LIMITED TO, LOSS OF PROFIT, SAVINGS, OR REVENUE, CLAIMS OF THIRD PARTIES, PUNITIVE DAMAGES, AND DAMAGES TO PROPERTY.
Any dispute between Organizer and Holder (or any Releasor), arising under or related to the Show, shall be governed by, and interpreted in accordance with, the laws of the State of Florida, without reference to conflict of laws provisions. The federal or state courts of Miami-Dade County, Florida shall have exclusive jurisdiction and venue over any such claims arising under or related to the Show, and both Organizer and Holder (and any Releasor) consent to and waive any objections to the personal jurisdiction and venue of such courts. In the event that any proceeding or action is brought by either Organizer or Holder (or Releasor) in relation to the Show or to enforce or interpret the terms of this Entrance Disclaimer or the Rules, the prevailing party in such proceeding or action shall be entitled to recover its costs of suit, including reasonable attorneys’ fees.
ORGANIZER AND HOLDER (AND ANY RELEASOR) KNOWINGLY, VOLUNTARILY AND IRREVOCABLY WAIVE, TO THE FULLEST EXTENT PERMITTED BY LAW, ALL RIGHT TO TRIAL BY JURY IN ANY ACTION, PROCEEDING OR COUNTERCLAIM (WHETHER BASED ON CONTRACT, TORT OR OTHERWISE) ARISING OUT OF OR RELATING TO THE SHOW OR THIS ENTRANCE DISCLAIMER OR THE RULES OR THE ACTIONS OF EITHER ORGANIZER OR HOLDER (OR ANY RELEASOR) IN CONNECTION WITH THE SHOW, OR ENFORCEMENT OF THIS ENTRANCE DISCLAIMER OR THE RULES.
Holder must comply with all requests and instructions from Show staff and onsite security staff. Any disruptive behavior at the Show or a Show Site (including any protest, attempted vandalism, or unauthorized performance), failure to comply with the Rules or failure to follow instructions of Show staff and/or onsite security staff could result in removal from the Show, without refund.
Holder must comply with the health and safety policies and other rules of the Show Sites.
Holder is solely responsible for the security of all goods, property, equipment, materials, products or any other items that Holder and Holder’s guests, agents, or other representatives bring to the Show. Organizer shall have no obligation or liability whatsoever for any loss, misplacement or theft of such goods, property, equipment, materials, products or any other items unless such loss, misplacement, or theft directly arises from Organizer’s willful misconduct.
Firearms (openly carried or concealed) and other weapons (including but not limited to knives, other sharp items, destructive devices, explosives, tear gas or pepper spray devices, electric weapons, stun or taser devices, fireworks, or any other dangerous articles) are strictly prohibited at all Show Sites, regardless of whether the Holder is otherwise legally permitted to carry. Failure to comply will result in denial of entry or removal without refund and may constitute trespass under Florida law. This prohibition does not apply to firearms lawfully stored in a locked private vehicle in parking areas, as permitted by Florida law. These restrictions are enforced pursuant to Florida law and are intended to ensure the safety and security of all attendees at Show Sites.
Holder grants Organizer the perpetual right and license to record (by photograph, film, tape, aural devices, and any other method or device) and publish, print, display or otherwise use the Holder’s and the Holder’s guests’, name, voice, image, and likeness while at the Show for any and all purposes, in any and all media now known or hereafter devised. Organizer may use Holder’s image, voice or other proprietary or public rights of Holder for marketing, promotional or other commercial purposes purposes without compensation.
Holder acknowledges and agrees that Holder shall not use any recording (by photograph, film, tape, aural devices and any other method or device) from any Show Sites for anything other than personal use. Holder acknowledges and agrees that Holder is strictly prohibited from using such recordings for commercial purposes or financial gain (directly or indirectly) or to cause reputational harm (intentionally or otherwise).
Holder may not conduct any live broadcasting or streaming from Show Sites during the Show. Holder may not post on social media or publish or display images or personal information of other Show attendees (including employees at Show Sites) without their express permission.
Holder acknowledges that the collection, use, and/or disclosure of personal information may be required for the purchase or registration of Tickets and/or attendance at the Show, and hereby consents to such collection, use, and/or disclosure of Holder’s personal information as necessary or desirable to facilitate the foregoing, and hereby releases and indemnifies and holds harmless Organizer and all Releasees in connection therewith. The terms of the MCH Group Privacy Notice will apply to any personal data collected by Organizer.
Some art works or performances at the Show may have mature themes or otherwise might not be suitable for minors, notwithstanding their intended artistic value. Accompanying adults or guardians should use discretion for minors under their care and should consult the Visiting with Children section of the Show website for further information and options. Purchase and/or use of a Ticket and/or entry into the Show by accompanying adults is deemed to constitute consent to the viewing of all content at the Show on behalf of minors under their care or custody.
